Please read these Terms of Service carefully before using eze alpha. By accessing or using the Platform you agree to be legally bound by these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms

By accessing or using eze alpha (the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately stop using the Platform.

These Terms constitute a legally binding agreement between you ("User", "you") and eze alpha ("we", "our", "us"). We reserve the right to update or modify these Terms at any time. Continued use of the Platform following any changes constitutes your acceptance of the revised Terms. The "Last Updated" date at the top of this page reflects when the most recent changes were made.

These Terms apply to all visitors, registered users, and anyone else who accesses or uses the Platform in any capacity.

2. Description of Service

eze alpha is a technology platform that uses artificial intelligence to generate structured equity research summaries. The Platform aggregates publicly available market data, news, and financial information and presents it alongside AI-generated analysis.

3. Financial Disclaimer & No Investment Advice

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

eze alpha is NOT a registered investment adviser, broker-dealer, financial planner, financial institution, or any other type of regulated financial entity under the laws of any jurisdiction, including but not limited to the United States Investment Advisers Act of 1940 or any equivalent international legislation.

NOTHING on the Platform constitutes financial advice, investment advice, trading advice, or any recommendation to buy, sell, or hold any security, asset, or financial instrument.

Specifically, and without limitation, the following AI-generated outputs are provided strictly for informational and educational purposes only and must not be construed as personalised financial advice:

Buy, Sell, or Hold ratings and recommendations.

Price targets and stop-loss levels.

Bull case, base case, and bear case scenario analyses.

Financial health assessments and valuation checks.

Risk analyses and market commentary.

Live Alpha Intelligence market mood summaries.

AI MODELS ARE NOT INFALLIBLE. The artificial intelligence models used by eze alpha can and do make factual errors, generate inaccurate data, misinterpret market conditions, and produce outputs that are inconsistent with the actual financial position or prospects of any company. You must not rely on any AI-generated content as your sole basis for any investment or financial decision.

Past performance is not indicative of future results. All investments involve risk, including the possible loss of principal. You may lose some or all of your invested capital.

YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR ALL FINANCIAL DECISIONS AND INVESTMENT CHOICES YOU MAKE. Before making any investment decision, you should conduct your own independent research and consult a qualified, licensed financial adviser who can assess your individual financial circumstances.

4. Eligibility

You must be at least 18 years of age to use the Platform. By using eze alpha, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract.

The Platform is intended for general informational use and is not specifically tailored for any particular jurisdiction's regulatory requirements. If you are accessing the Platform from a jurisdiction where use of such services is restricted or prohibited, you do so at your own risk and are solely responsible for compliance with local laws.

5. User Accounts & Security

You may create an account using an email address and password or by authenticating via a third-party provider (Google OAuth). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to: (a) provide accurate and complete information when creating your account; (b) notify us immediately at support@ezealpha.com of any unauthorised access or suspected breach of your account; and (c) not share your credentials with any third party.

We reserve the right to suspend or terminate any account that we believe, in our sole discretion, has been used in violation of these Terms or in a manner that may harm us or other users.

6. Acceptable Use & Prohibited Conduct

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You expressly agree NOT to:

Scrape, crawl, spider, or otherwise systematically extract data, content, or AI-generated outputs from the Platform by automated means, without our prior written consent.
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform or any AI model used by it.
Use the Platform to distribute, republish, sell, or commercially exploit any AI-generated research reports, market data, or any other content without our express written authorisation.
Attempt to gain unauthorised access to any portion of the Platform, its servers, databases, or connected infrastructure.
Introduce any virus, malware, trojan, or other malicious or technologically harmful code into the Platform.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Use the Platform in any manner that could disable, overburden, damage, or impair it, or interfere with other users' ability to use it.
Use any AI-generated output, recommendation, rating, or price target from the Platform as the basis for managing third-party assets or operating an investment service without obtaining all required regulatory approvals.

7. Intellectual Property

All content on the Platform, including but not limited to the software, algorithms, UI/UX design, graphics, text, logos, and the selection and arrangement of content, is the exclusive property of eze alpha or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial informational purposes only. This licence does not include the right to reproduce, modify, distribute, sell, or create derivative works of any Platform content.

AI-generated research reports produced by the Platform at your request are provided to you for your personal use only. You may not republish, redistribute, or commercially exploit such reports without our prior written consent.

Any feedback, suggestions, or ideas you submit to us regarding the Platform may be used by us freely and without obligation to you.

8. Third-Party Data & Services

The Platform integrates data from third-party providers including Alpha Vantage (market data) and Google Gemini (AI generation). The accuracy, completeness, and timeliness of third-party data is beyond our direct control. We make no representations or warranties regarding the accuracy of any third-party data displayed on the Platform.

The Platform may contain links to third-party websites or resources. These links are provided for your convenience only. We have no control over the content of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

Your use of third-party services accessed through or in connection with the Platform is subject to those services' own terms and privacy policies.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, eze alpha, its officers, directors, employees, agents, licensors, and service providers shall NOT be liable for any:

Financial losses, loss of capital, loss of profits, or investment losses of any kind, whether direct or indirect, arising from your use of or reliance on any content, analysis, rating, price target, or recommendation generated by the Platform.
Direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your access to or use of (or inability to access or use) the Platform.
Damages resulting from the inaccuracy, incompleteness, or unavailability of any market data, AI-generated output, or other content on the Platform.
Damages resulting from unauthorised access to or alteration of your data or account.
Damages resulting from any third-party conduct or content accessed through the Platform.
YOU EXPRESSLY ACKNOWLEDGE THAT eze alpha IS PROVIDING THIS PLATFORM "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law. In no event shall our total aggregate liability to you exceed the greater of (a) the total fees paid by you to eze alpha in the twelve (12) months preceding the claim, or (b) one hundred US dollars (US$100).

10. Indemnification

You agree to defend, indemnify, and hold harmless eze alpha and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform in a manner not authorised by these Terms; (c) any financial decisions or investments made by you in reliance on Platform content; or (d) your violation of any applicable law, regulation, or third-party right.

11. Termination

We reserve the right to suspend or permanently terminate your access to the Platform at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

Upon termination, all licences and rights granted to you under these Terms will immediately cease. Sections 3, 7, 9, 10, and 12 of these Terms shall survive any termination or expiration.

You may terminate your account at any time by contacting us at support@ezealpha.com. Account deletion requests will be processed within 30 days in accordance with our Privacy Policy.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict-of-law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation between the parties. If resolution cannot be reached within 30 days of written notice of the dispute, the parties agree to submit to binding arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending resolution of the dispute.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. For significant changes, we may also notify registered users via email.

Your continued use of the Platform after any changes to these Terms constitutes your binding acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform.
